1. Agreement to these terms
These terms govern your use of thejinis.com (the “Site”), operated by The Jinis LLC (“Jinis”, “we”, “us”). By using the Site you agree to them and to our Privacy Policy and Cookie Policy. If you do not agree, do not use the Site. If you use it for an organisation, you confirm that you have authority to bind it.
2. Eligibility
You must be at least 18 years old, or the age of majority where you live, to contact us about a project.
3. What the Site is, and what it is not
The Site describes our software studio, our services and our products. It is for general information and marketing. It is not an offer, a quote or professional advice, and nothing on it creates a client relationship, a contract or a duty of confidentiality.
Work for clients is carried out only under a separate written agreement, such as a master services agreement or statement of work. If that agreement conflicts with these terms, the written agreement applies. Our products, such as Flowgistical, are governed by their own terms and order forms.
4. Contacting us through the Site
When you send us a message you confirm that the details are accurate and that you have the right to share them. We use them to reply and handle them under our Privacy Policy. Please do not send confidential, sensitive or proprietary information through the contact form or email before we have signed a confidentiality agreement. You grant us a non-exclusive licence to use what you send only to respond to you and to evaluate and carry out a possible project. Ideas, suggestions and feedback you give us about the Site or our services may be used by us without payment or obligation to you.
5. Acceptable use
You agree not to:
- break any law or infringe anyone’s rights;
- try to gain unauthorised access to the Site, our systems or other users’ data, or test their security without our written permission;
- introduce malware or interfere with the Site’s operation, for example through excessive requests;
- scrape, crawl or copy the Site by automated means, except for ordinary search-engine indexing;
- send spam, unsolicited marketing, or false or misleading messages through the contact form;
- impersonate any person or misrepresent your connection to us.
6. Intellectual property
The Site and everything on it, including its design, text, graphics, animations, code, logo and the “Jinis” name, belong to The Jinis LLC or its licensors and are protected by copyright, trademark and other laws. We give you a limited, non-exclusive, non-transferable, revocable licence to view the Site for your own personal or internal business purposes. You may not copy, modify, distribute, sell or create derivative works from the Site without our written permission. All rights not expressly granted are reserved.
Software and code we build for clients belong to whoever the written agreement says they belong to.
7. Third-party links, products and open source
The Site may link to websites, products and services we do not control, and may include open-source components under their own licences. We do not endorse or accept responsibility for third-party content, products or practices, and your use of them is at your own risk and subject to their terms.
8. Copyright complaints
If you believe content on the Site infringes your copyright, email contact@thejinis.com with your contact details, a description of the work, the location of the material, a statement that you act in good faith and that the information is accurate, and your signature. We will review the notice and act as the law requires.
9. Availability and changes to the Site
We may change, suspend or remove any part of the Site at any time without notice. We do not promise that it will be available, uninterrupted, secure or error free. We may also block or limit access if we think you have broken these terms.
10. Disclaimer of warranties
The Site and its content are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, accuracy and non-infringement. Information on the Site may be incomplete or out of date, and examples or descriptions of our work may not suit your business without adaptation.
11. Limitation of liability
To the fullest extent permitted by law, Jinis and its owners, officers, employees and contractors are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of or inability to use the Site, even if we were told they might occur. Our total liability for all claims relating to the Site is limited to [for example, USD 100]. Nothing in these terms excludes or limits liability that cannot be excluded or limited by law, including for fraud or for death or personal injury caused by negligence. Some places do not allow certain limits, so they may not apply to you.
12. Indemnification
You agree to defend and indemnify Jinis against claims, damages and costs, including reasonable legal fees, arising from your breach of these terms or your misuse of the Site.
13. Governing law and disputes
These terms and any dispute about the Site are governed by the laws of Wyoming, without regard to conflict-of-law rules. Please contact us first at contact@thejinis.com and we will try to resolve the matter informally within 30 days. If we cannot, the courts of Sheridan County, Wyoming have exclusive jurisdiction, and you and we consent to them. 14. General
These terms, with the policies they refer to, are the entire agreement between you and us about the Site. If a provision is unenforceable, the rest stays in effect. Our failure to enforce a right is not a waiver. You may not assign these terms without our consent, but we may assign ours. We may give you notices by email or by posting on the Site. We are not liable for delays caused by events beyond our reasonable control. You may not use the Site in breach of export-control or sanctions laws.
15. Changes to these terms
We may update these terms from time to time. We will change the date at the top of this page, and changes apply from that date. Using the Site after that means you accept the updated terms.
